Terms and Conditions

Welcome to Justflows. These Terms and Conditions govern your use of our websites, cloud services, marketplace, and related services. The Justflows CMS platform (Community Edition) is separate open source software under the MIT License. This website is proprietary and governed by these Terms.
These Terms and Conditions are written in English. Any translation into another language is provided as a courtesy only. In the event of any conflict or inconsistency, the English version prevails.
These Terms are governed by the laws of the Netherlands.
Summary
These Terms govern your use of Justflows Services (website, cloud, marketplace, accounts, and paid offerings).
The Justflows platform (Community Edition) is open source under the MIT License and is licensed separately. This website and our commercial Services are proprietary.
Marketplace plugins and themes keep their own license and must be GPL-compatible when listed. You may charge for access, updates, and support without offering a proprietary Marketplace listing.
By using our Services, you agree to these Terms in full. If you do not agree, do not use the Services.
1. Acceptance of Terms
1.1 Agreement formation
These Terms constitute a legally binding agreement between you and Noobbase holding BV ("Justflows", "we", "us", "our").
By accessing or using any part of our Services, you confirm that you have read, understood, and agree to be bound by these Terms.
1.2 Methods of acceptance
You accept these Terms by: (a) clicking "I agree", "Accept", or similar during registration; (b) creating an account; (c) purchasing Paid Services; (d) listing or installing via the Marketplace; (e) using our API with issued credentials; (f) continuing to use Services after we notify you of updated Terms.
1.3 Electronic agreement
You agree that these Terms are executed electronically and are as legally valid as a signed paper contract.
Electronic records of acceptance may be maintained by us as proof of agreement.
1.4 Incorporated documents
By accepting these Terms, you also agree to documents incorporated by reference, including: (a) Privacy Policy; (b) Cookie Policy (when published); (c) Acceptable Use Policy; (d) Marketplace Developer Agreement; (e) Enterprise Software License Agreement (if applicable); (f) Data Processing Agreement (for Cloud customers, when applicable).
If documents conflict, these Terms prevail unless a separate signed enterprise agreement explicitly states otherwise.
1.5 User acknowledgment
You acknowledge that you had the opportunity to read these Terms, that you understand your rights and obligations, and that you enter this agreement voluntarily.
2. Definitions and interpretation
2.1 General terms
"Services" means our websites, documentation, community channels, Justflows Cloud, Marketplace, accounts, APIs, updates, and related offerings operated by Noobbase holding BV
"Community Edition" or "Core" means the open source Justflows CMS software licensed under the MIT License.
"Enterprise Edition" means optional commercial features under a separate license.
"Content" means text, code, media, data, and other materials submitted or made available through the Services.
2.2 User categories
"Visitor" means a person browsing our website without an account.
"Self-hoster" means a user running Community Edition on their own infrastructure.
"Cloud customer" means a user of Justflows Cloud or managed hosting.
"Marketplace publisher" means a developer or vendor listing plugins or themes in the Marketplace.
"Developer" means a user accessing our APIs or SDK to build integrations or extensions.
2.3 Interpretation guidelines
Singular includes plural and vice versa. Headings are for convenience only.
"Including" means "including without limitation". References to laws include amendments and successor legislation.
3. Eligibility
3.1 Age requirements
You must be at least 16 years old to use the Services independently. If you are under 18, you may use the Services only with consent of a parent or legal guardian who accepts these Terms on your behalf.
3.2 Legal capacity
If you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
3.3 Geographic availability
Services may not be available in all countries. You may not use the Services where prohibited by law or where we have restricted availability.
You may not circumvent geographic restrictions using VPNs or similar means where prohibited.
3.4 Sanctions and prohibited persons
You may not use the Services if you are on any applicable sanctions or restricted-party list (EU, UN, NL, or other relevant lists), or located in a comprehensively sanctioned territory.
Marketplace publishers may be subject to identity and business verification (KYC) before payouts.
4. Accounts and security
4.1 Registration
You must provide accurate, complete, and current account information and keep it updated.
You are responsible for all activity under your account.
4.2 Security
Keep credentials confidential. Do not share accounts. Use strong passwords and enable available security features.
Notify security@justflows.com immediately of unauthorised access or suspected breaches.
4.3 Account sharing and transfer
Accounts are personal or organisation-scoped and may not be shared, sold, or transferred without our written consent.
4.4 Closure and data retention
You may close your account according to account settings or by contacting support.
After closure, we may retain data as required by law, for legitimate business purposes (billing, disputes, security), or as stated in our Privacy Policy, then delete or anonymise it.
5. Proprietary website and Services
The justflows.com website, its design, content, and frontend source code are proprietary to Noobbase holding BV and are not licensed under MIT.
These Terms govern your use of our proprietary Services. They do not grant rights to our website source code or branding except as expressly stated.
6. Open source software (Community Edition)
6.1 MIT core
Community Edition is licensed under the MIT License. Your rights to use, modify, and distribute Core are defined by that license, not these Terms.
6.2 Plugins and themes
Plugins and themes are licensed separately from Core. They are not MIT just because Core is MIT. Official Marketplace listings and installed packages must declare a GPL-compatible license.
You may charge for extensions (access, updates, support). Closed-source integrations may not be listed on the official Marketplace.
6.3 Forks and modifications
Forks of Core must preserve the MIT copyright notice when distributed. Forks must not use Justflows trademarks misleadingly.
We provide no support guarantees for modified or unofficial builds.
7. Self-hosted use
Self-hosting Community Edition is free under the MIT License. You are responsible for your infrastructure, backups, security hardening, updates, and compliance with applicable law.
We do not access your self-hosted instance unless you connect to our Services (updates, marketplace, cloud sync, support) or as required by law.
You are responsible for merging security patches into modified installations.
8. Justflows Cloud
8.1 Managed hosting
Justflows Cloud (when available) is a proprietary Paid Service. Use is subject to these Terms and your plan limits.
We provide infrastructure to run Justflows on your behalf subject to fair use and plan constraints.
8.2 Data and roles
For Cloud, we may act as data processor for personal data you control on your sites, as described in our Privacy Policy and DPA.
You remain responsible for lawful use of your sites and content hosted on Cloud.
8.3 Suspension
We may suspend Cloud instances for abuse, non-payment, legal requirements, or security risks.
9. Marketplace
9.1 Listing rules
The Marketplace is curated. Listings require approval, security review, and package signing.
All listings must declare a GPL-compatible license. Proprietary integrations may not be listed.
9.2 Payments
Paid listings must use Justflows Payments unless we agree otherwise in writing.
Fees, revenue share, and payout terms are disclosed in the publisher dashboard or separate agreement.
9.3 Publisher obligations
Publishers must have rights to distribute software, provide accurate descriptions, respond to security issues promptly, and comply with the Marketplace Developer Agreement.
Publishers indemnify Justflows for claims arising from their listings, except where caused by our gross negligence or wilful misconduct.
9.4 Content standards
Listings must not contain malware, deceptive claims, or circumvention of core security or permission systems.
We may delist, revoke signatures, or refuse updates that violate policy.
10. Enterprise Edition
Enterprise Edition features are licensed under a separate Enterprise Software License Agreement.
Enterprise features are optional and not required to run Community Edition.
Enterprise terms prevail over these Terms where they explicitly conflict for Enterprise use.
11. API and developer terms
11.1 API access
API and SDK access requires compliance with documentation, authentication requirements, and these Terms.
You may not share API keys or credentials except within your organisation as permitted.
11.2 Rate limits and fair use
We may apply rate limits and usage quotas. Excessive or abusive API use may be throttled or suspended.
11.3 Versioning and deprecation
APIs may change. We will provide reasonable notice for breaking changes where practicable.
Deprecated APIs may be removed after a notice period.
11.4 Security
Report API security issues to security@justflows.com. Do not exploit vulnerabilities.
12. Acceptable use and prohibited content
12.1 Prohibited conduct
You may not: attempt unauthorised access; interfere with Services; scrape in violation of law or robots terms; circumvent signing or licensing controls; resell Paid Services without authorisation; violate export or sanctions law; distribute malware or spam.
12.2 Prohibited content
You may not use Services for illegal content, fraud, IP infringement, hate speech, exploitation of minors, or content that violates applicable law.
Marketplace listings must comply with our Acceptable Use Policy.
12.3 Reporting violations
Report abuse, security issues, or policy violations to legal@justflows.com or security@justflows.com.
We may investigate and cooperate with authorities where required.
13. Intellectual property, trademarks, and DMCA
13.1 Our rights
We retain all rights in proprietary Services, website, branding, documentation, and Enterprise software, except open source components under their licenses.

13.2 Your content
You retain ownership of Content you submit. You grant us a worldwide, non-exclusive licence to host, display, and process Content to operate the Services.
13.3 Copyright complaints (DMCA-style)
If you believe content infringes your copyright, send a notice to legal@justflows.com with: identification of the work; identification of the material; your contact details; a good-faith statement; and a statement of accuracy under penalty of perjury where applicable.
We may remove or disable access to contested material and notify the uploader. Repeat infringers may have accounts or listings terminated.
13.4 Repeat infringers
We maintain a policy to terminate accounts or listings of repeat copyright infringers in appropriate circumstances.
14. Privacy and data protection
14.1 Privacy Policy
Our Privacy Policy explains how we process personal data under the GDPR and Dutch law. It forms part of these Terms.

14.2 Controller and processor roles
For account and website data, we are typically the controller. For Cloud site visitor data you control, we may act as processor under a DPA.
Self-hosters are controllers of their instance data unless they use our connected Services.
14.3 Retention and portability
We retain data as described in our Privacy Policy. You may request export or deletion subject to legal exceptions and GDPR rights.
Cloud customers should export content before account closure where tools are provided.
14.4 Security incidents
We implement appropriate technical and organisational measures. We will notify affected parties of personal data breaches where required by law.
15. Third-party services
Services may integrate payment processors, hosting providers, analytics, and other third parties governed by their own terms.
We are not responsible for third-party services, unsigned sideloaded extensions, or modifications to Core outside our Marketplace.
16. Fees, billing, and taxes
16.1 Paid Services
Fees are shown at purchase or in your order. Subscriptions renew automatically unless cancelled per displayed terms.
We may change future prices with reasonable notice where required by law.
16.2 Taxes
Prices may exclude VAT unless stated. Business EU customers may provide VAT ID for reverse charge where applicable.
16.3 Payment failure
We may suspend Paid Services for failed payment, suspected fraud, or chargeback abuse.
17. Refunds and cancellations
Unless required by law or stated in a specific offer, fees are non-refundable.
You may cancel subscriptions per account settings; cancellation typically takes effect at the end of the billing period.
EEA consumers may have statutory withdrawal rights for certain digital services. Immediate access may limit withdrawal rights as permitted by law.
18. Support and service levels
Community support is best-effort unless you purchase support or an enterprise SLA.
Official support applies to unmodified official releases unless your agreement states otherwise.
Enterprise SLAs may be offered under separate written terms.
19. Availability, maintenance, and beta features
19.1 Availability
We strive for reliable Services but do not guarantee uninterrupted access. Maintenance may cause temporary downtime.
We will announce scheduled maintenance when practicable.
19.2 Beta and experimental features
Beta or preview features are provided as-is, may change or be withdrawn at any time, and are excluded from any SLA unless explicitly stated.
20. Security responsibilities
We implement industry-standard measures for Services we operate. No system is completely secure.
You are responsible for securing your account, self-hosted instances, and any data you collect from your users.
Report vulnerabilities responsibly to security@justflows.com.
21. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Community Edition is provided under the MIT License without warranty to the extent permitted by that license.
22. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY DUTCH LAW, Noobbase holding BV SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.
OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY TWELVE (12) MONTH PERIOD SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID FOR RELEVANT PAID SERVICES, OR (B) EUR 100.
Nothing excludes liability that cannot be excluded under mandatory law.
23. Indemnification
You agree to indemnify and hold harmless Noobbase holding BV against claims arising from your Content, use of Services, Marketplace listings, or violation of these Terms or law, except to the extent caused by our gross negligence or wilful misconduct.
We may assume exclusive defence of indemnified matters at your expense where appropriate.
24. Suspension and termination
You may stop using Services at any time. Cancel Paid Services per provided process.
We may suspend or terminate access for breach, legal requirements, non-payment, abuse, or security risk.
Provisions that should survive (IP, disclaimers, liability limits, indemnity, governing law) survive termination.
25. Force majeure
Neither party is liable for failure or delay due to events beyond reasonable control, including natural disasters, war, terrorism, government actions, labour disputes, or major internet or infrastructure outages.
We will use reasonable efforts to resume normal operations.
26. Dispute resolution
Contact legal@justflows.com first to resolve disputes informally.
If informal resolution fails, disputes are subject to Section 27 (Governing law).
If you are an EEA consumer, you may use the EU ODR platform: https://ec.europa.eu/consumers/odr
Nothing in these Terms limits mandatory consumer rights to bring proceedings in your country of residence.
27. Governing law and jurisdiction
These Terms are governed by the laws of the Netherlands.
The courts of Amsterdam, the Netherlands, have jurisdiction, subject to mandatory consumer protections.
Business users consent to the jurisdiction of Amsterdam courts unless mandatory law provides otherwise.
28. Consumer information (EEA)
EEA consumers benefit from mandatory consumer protection laws in their country of residence that cannot be waived.
For digital services with immediate performance, withdrawal rights may be limited where permitted by EU law after express acknowledgment.

29. Changes to these Terms
We may update these Terms. Material changes will be posted with an updated date and, where required, notified by email or in-product notice at least 30 days before taking effect for Paid Services.
Continued use after the effective date constitutes acceptance unless mandatory law requires explicit consent.
30. Severability and entire agreement
If any provision is invalid, the remainder stays in effect. Invalid provisions are replaced with valid ones reflecting original intent where possible.
You may not assign these Terms without our consent. We may assign in connection with merger, acquisition, or asset sale.
These Terms, incorporated documents, and applicable order forms constitute the entire agreement regarding Services.
31. Community channels
Discord, forums, and other community spaces may have additional community guidelines. Participate respectfully. We may remove content or users violating guidelines or law.
Community discussions do not constitute official support or commitments.
